The firm's Business Law practice is centered around a core of New England-based businesses for which the firm serves as general counsel, although the firm also serves as special counsel to a large number of transactional clients, many of which are located outside of the region.
Our clients include a broad spectrum of businesses, including corporations, partnerships, joint ventures, sole proprietorships and charitable organizations. They represent all major industry groups, including defense, general manufacturing and distribution, public utility, banking, insurance, construction, health care, computer software, resource recovery and agriculture. Several of the firm's clients are publicly traded corporations, and the firm is engaged on a regular basis in assisting those clients in meeting their ongoing reporting and disclosure obligations under state and federal securities laws. The firm also has extensive experience in public and private placements of debt and equity securities; mergers, acquisitions and divestitures; state and federal tax matters; general corporate governance matters; and the negotiation and documentation of a wide range of business transactions.
The Business Law practice encompasses separate groups comprised of lawyers representing clients on matters related to employee benefits, state and federal taxation, general corporate and securities law. In addition, members of the practice can readily call upon other attorneys at the firm for assistance in the fields of environmental, labor, litigation, health care, real estate, commercial finance and administrative law.
