Vincent ("Vin") R. Merola is a member of Murtha Cullina's Corporate, Privately Owned Businesses and Emerging Companies practices. He represents clients in the areas of general corporate law, securities and mergers and acquisitions.
Vin advises companies at all stages of their business life cycle, including entity formation, capital raises, financing, acquisitions and dispositions. He has extensive experience in drafting and negotiating a wide variety of commercial agreements, such as service agreements, supply agreements, licensing agreements as well as shareholder agreements and buy/sell agreements. Vin also assists clients with the development and implementation of business succession plans. He has advised franchisors with respect to brand growth and development on a global scale as well as mitigating associated risks.
Previously, Vin served as Lead Counsel - Corporate Governance at Subway World Headquarters. During his time at Subway, Vin managed the Corporate Affairs Group for over a decade, focusing on corporate governance and compliance, working on high impact projects, including corporate re-structures of the brand's entity portfolio, overseeing third-party due diligence, records retention and global electronic signature compliance.
During law school, Vin was a member of the Moot Court Honor Society and participated in the National Appellate Advocacy Competition. He interned at the State of Connecticut Department of Consumer Protection and Office of the Chief State’s Attorney.
Vin's hobbies include golfing, kayaking, hiking and comic collecting.
