New Haven, CT (March 26, 2018)…Attorney James W. McLaughlin has rejoined Murtha Cullina LLP as Counsel in the Business and Finance Department. Mr. McLaughlin was previously a Corporate Associate at the firm from 2010 to 2015 and Corporate Counsel at Datto, Inc from 2015 to 2018.
Mr. McLaughlin provides practical legal advice to clients in a wide range of corporate and commercial transactions with a focus on mergers and acquisitions, private equity and venture capital transactions, public and private capital raising, securities law compliance, and corporate governance matters. His practice spans the entire life cycle of a company, with in-depth experience advising new start-ups, emerging companies, and mature companies seeking liquidity through a public offering or sale.
Mr. McLaughlin also represents businesses in connection with complex contract negotiations including SaaS agreements, intellectual property licensing agreements, software development agreements, cloud services agreements and user license agreements. He has advised clients across a broad range of industries including technology and software, e-commerce, manufacturing, energy, aerospace, automotive, engineering, utilities, and financial services.
In addition to serving as outside counsel to business clients, Mr. McLaughlin has previously provided in-house counsel representation, most recently as Counsel for a Connecticut-based data backup and business continuity technology company. In that role, he was responsible for M&A transactions on both the buy and sell side, corporate governance matters, financing activities, implementing global anti-corruption, international trade, and data privacy compliance, intellectual property protection, contract management, and providing legal support for the company’s entities and business operations across the globe. Earlier in his career, Mr. McLaughlin was an associate at a global law firm representing issuers and underwriters in connection with initial public offerings, private placements and registered offerings of debt and equity securities.
Mr. McLaughlin is a member of the American Bar Association and the Connecticut Bar Association. He received his J.D. from Duke University School of Law and his A.B. from Georgetown University.
